For our Corporate legal department we are looking to hire a Stock Plan administrator/Paralegal to work out of Palo Alto, CA Location.
Responsibilities:
The Stock Administrator/ is responsible for the administration, reporting, and reconciliation of the global equity compensation program. Duties include the following:Comprehensive records maintenance of all stock plan activities Assist in all pre-IPO preparationCoordination and monitoring of information flow and communication between employees, optionees, shareholders and internal departmentsCalculation of tax withholding, process exercises, vests with the applicable country, federal, state and/or IRS regulations.Assist with FAS 123 (R) calculations for quarterly and annual financial statement disclosures and forecasting Maintenance of stock ownership records Assists with preparation of Board and committee resolutions Maintain positive relationships with internal partners such as Tax, Legal, Finance, Human Resources, Payroll, as well as external vendors to ensure successful implementation of global equity programsAssists with the Company’s compliance with federal and state securities laws, the administration of plans, and other general corporate matters as required by the legal departmentPerform other corporate paralegal duties dependent on skill set. Entity Maintenance or contract management skills a plus.
Qualifications include the following:Ideal candidate has 8+ years stock administration experience from a mid-size to large company background. Prior paralegal experience in both a large law firm and as in-house legal department preferred.International Stock Admin experienceDemonstrated ability to understand and administer a complex plan Proficient use of Equity Edge software and solid knowledge of Word and Excel Excellent verbal and written communication skills Bachelor’s degree or equivalent experience Ability to work with highly sensitive, confidential information and to maintain complete confidentiality Excellent attention to detail, ability to problem solve, take initiative and work independently
